1. Interpretation and Definitions

Interpretation

Words with initial capital letters have meanings defined under the following conditions. The following definitions apply whether they appear in singular or plural form.

Definitions

For the purposes of these Terms and Conditions:

Company refers to X Space (also known as “FWA X Space”), a division of Financial Wellness Academy, located at 888 SE 3rd Ave, Suite 502, Fort Lauderdale, FL 33316.

Site refers to https://fwaxspace.com and any related pages.

Services refer to the rental of physical spaces, including the event space, podcast studio, and executive offices.

Renter (“You”) means the individual or legal entity reserving or using X Space facilities.

Booking means a confirmed reservation for use of X Space facilities.

Terms mean these Terms and Conditions, which form the entire agreement between You and X Space.

2. Acknowledgment

These Terms govern Your access to and use of the Site, Your rental, and use of X Space facilities. Your Booking and use of the Services are conditioned upon acceptance of these Terms and the X Space Privacy Policy.

You represent that You are at least eighteen (18) years of age and legally capable of entering into a binding agreement.

3. Scope of Services

X Space primarily provides facility rental services and related optional add-on services as described on the Site. X Space does not host, promote, manage, register, or supervise events held by renters. All events, meetings, recordings, or activities conducted in the space are organized and controlled solely by the Renter.

4. Bookings and Payment

All Bookings must be paid in full at the time of reservation unless otherwise agreed in writing by X Space.

Payments are processed through third-party payment providers. By submitting payment, You authorize X Space to charge the payment method provided for all applicable fees arising from Your rental, including but not limited to optional add-on services purchased by You, cleaning fees, damage repairs or replacements, overstays, prohibited activity remediation, or other incidentals as outlined in these Terms.

You acknowledge and agree that such charges may be assessed within a reasonable time after the rental has concluded and may be processed without additional authorization from You. X Space may, but is not required to, provide notice prior to processing any additional charges.

5. Cancellations, No-Shows, and Rescheduling

All space rentals are non-refundable, except where required by applicable law.

  • No-shows result in full forfeiture of the rental fee.
  • Rescheduling is not guaranteed and may be granted solely at X Space’s discretion.
  • Any legally required cancellation rights (including those related to payment processing regulations) are limited to the minimum extent required by law.

6. Use of Space and Occupancy Limits

Renters must comply with all occupancy limits:

  • Event Space:
    • Up to 22 people in classroom layout
    • Up to 50 people with furniture rearranged
  • Podcast Studio:
    • Maximum occupancy of 3 people
    • Space for up to 2 people on camera

Renters are responsible for ensuring that furniture is returned to its original classroom layout and condition prior to vacating the space.

Exceeding occupancy limits may result in immediate termination of the rental without refund.

7. Overstay Policy

Renters must vacate the space promptly at the end of their booked time.

If a Renter remains beyond the scheduled end time, X Space reserves the right to charge additional fees for overstaying. Any grace period is provided solely at X Space’s discretion and may depend on scheduling availability.

Repeated or excessive overstaying may result in denial of future bookings.

8. Cleaning and Condition of Space

Renters must leave the space in the same condition or better than it was upon arrival.

If additional cleaning is required, the following flat-rate cleaning fees will be assessed:

  • Event Space: $350
  • Podcast Studio: $100

Cleaning fees apply regardless of rental duration and may be charged after the Booking.

9. Damage to Property

Renters are fully responsible for any damage to X Space property, equipment, furnishings, or fixtures caused by the Renter or their guests.

X Space reserves the right to charge the full cost of repair or replacement, including labor and administrative costs, to the payment method on file.

10. Prohibited Activities

The following are strictly prohibited unless expressly authorized in writing by X Space:

  • Alcohol (X Space does not provide alcohol under any circumstances)
  • Smoking or vaping
  • Weapons of any kind
  • Illegal activities
  • Open flames, candles, or pyrotechnics
  • Excessive noise or amplified music
  • Animals (except service animals as required by law)

Confetti or glitter may be used only if fully cleaned and removed prior to vacating the space.

Any violation of this section may result in immediate termination of the rental without refund and may result in additional fees, cleaning charges, or damage assessments at X Space’s discretion.

11. Building Rules and Conduct

Renters and their guests must comply with all applicable building rules, policies, and regulations and must conduct activities in a manner that is respectful of other tenants and occupants of the building. X Space reserves the right to terminate a rental without refund if activities unreasonably disrupt the building or violate building requirements.

12. Audio and Video Recording

The podcast studio is equipped for audio recording and optional video recording. Recording occurs only when initiated by the Renter using the provided equipment.

The Renter is solely responsible for ensuring that recordings are properly captured, stored, transferred, and retained. Except as expressly provided through X Space’s optional Recording Storage Service, X Space does not control, monitor, access, store, or retain any audio or video recordings.

At the Renter’s request, X Space staff may provide limited assistance in operating recording equipment; however, such assistance does not constitute control, responsibility, or oversight of the recording process or output.

Renters are responsible for bringing any required compatible storage devices needed to receive their raw audio and/or video files. If a Renter does not bring a compatible storage device, X Space may offer an optional Recording Storage Service, subject to availability. The Recording Storage Service is priced at $150 when purchased in advance during booking and $250 when purchased on-site the day of the session.

When the Recording Storage Service is purchased, X Space will provide the required storage media and, after the session, send the Renter the raw, unedited recordings. Edited files, post-production services, and long-term file storage are not included unless otherwise agreed in writing.

Failure to bring a compatible storage device, or failure to purchase the Recording Storage Service, does not constitute a fault of X Space and does not entitle the Renter to additional time, a refund, or rescheduling. The Renter remains responsible for the full rental period booked, regardless of whether recording is successfully completed.

The Renter is solely responsible for obtaining any required consent from participants, guests, or attendees.

13. Wi-Fi Use

Wi-Fi access may be provided to Renters and their guests or attendees. Limited technical data may be collected to maintain network performance and security. X Space does not monitor internet content and does not guarantee network speed, availability, or security.

The Renter is responsible for informing guests of Wi-Fi availability and ensuring that all guests’ use of the network complies with these Terms. Use of the Wi-Fi network is at the Renter’s and guests’ own risk.

14. Assumption of Risk and Liability

Use of X Space facilities is at the Renter’s own risk. Renters assume all responsibility for their activities and those of their guests.

To the maximum extent permitted by law, X Space is not liable for injury, loss, theft, or damage occurring on the premises.

15. Insurance

X Space does not require Renters to obtain insurance for use of the facilities. Renters assume all risks associated with their activities and remain fully responsible for any loss, damage, or liability arising from their use of the space.

16. Indemnification

You agree to indemnify, defend, and hold harmless X Space, Financial Wellness Academy, and their respective owners, officers, directors, employees, contractors, agents, representatives, affiliates, and assigns from and against any and all claims, demands, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. Your use of X Space facilities;
  2. the conduct of Your guests or attendees;
  3. any damage to property or injury to persons caused by You or Your guests;
  4. any recording, content creation, or distribution activities conducted during Your rental; or
  5. Your violation of these Terms or applicable laws.

17. Force Majeure

X Space is not liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, power outages, government actions, or emergencies.

18. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

19. Dispute Resolution

20. Severability and Waiver

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

21. Attorney’s Fees

The prevailing party in any dispute shall be entitled to recover reasonable attorney’s fees and costs.

22. Changes to These Terms

X Space may modify these Terms at any time. Continued use of the Site or Services constitutes acceptance of the revised Terms.
